Boxloop is an AI-powered HR and recruitment management platform that provides:

• AI-powered CV screening and candidate matching
• Automated candidate assessments and evaluations
• Interview scheduling and calendar integration
• Recruitment pipeline management
• Candidate communication tools (email, WhatsApp)
• Hiring analytics and reporting

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials
• You must provide accurate and complete information when creating an account
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload malicious content, viruses, or harmful code
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to discriminate against candidates based on protected characteristics
• Scrape, crawl, or use automated means to access the Service without permission
• Interfere with or disrupt the integrity or performance of the Service
• Resell, sublicense, or redistribute the Service without our written consent

5. Data and Content

Your data: You retain ownership of all data you upload to the Service, including candidate resumes, job descriptions, and evaluation data. You grant us a limited license to process this data solely for the purpose of providing the Service.

Candidate data: You are responsible for ensuring that you have the appropriate legal basis (such as consent or legitimate interest) to collect and process candidate personal data through our Service. You must comply with all applicable data protection laws, including GDPR where applicable.

AI processing: By using our AI-powered features, you acknowledge that candidate data may be processed by third-party AI services (Google Gemini, OpenAI) for analysis purposes. Only the minimum necessary data is shared for processing, and we do not use your data to train third-party AI models.

6. Third-Party Integrations

The Service integrates with third-party platforms including Google Calendar, Calendly, WhatsApp, and AI providers. Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the availability or functionality of third-party services.

When you connect your Google Calendar, you authorize us to access your calendar data in read-only mode solely for the purpose of receiving and tracking interview scheduling events. You can revoke this access at any time.

7. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by Boxloop and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You may not copy, modify, reverse engineer, or create derivative works based on the Service without our prior written consent.

8. Payment and Subscription

Certain features of the Service may require a paid subscription. Payment terms, pricing, and billing cycles are as described on our pricing page or in a separate agreement.

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by applicable law
• We may change pricing with 30 days' prior notice
• Failure to pay may result in suspension or termination of your account

9. Limitation of Liability

To the maximum extent permitted by law, Boxloop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that AI-powered features will produce accurate or error-free results. Hiring decisions should always involve human review and judgment.

11. Indemnification

You agree to indemnify and hold harmless Boxloop, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. You may terminate by deleting your account or contacting us. We may terminate or suspend your access if you violate these Terms.

Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good faith negotiation, and if necessary, through the competent courts of Vietnam.
